CANTEC SOLD TO FORMER SHAREHOLDER

Cantec GmbH & Co. KG

Cantec is a long-established mechanical engineering company based in Essen, Germany. The company specializes in the production of high-performance machines for the manufacture of three-piece cans, deep-drawn cans, caps, ends and easy-open-end-shells. The main business is based on four segments or product lines:

- CAN-O-MAT

- END-O-MAT

- Spare Parts

- Maintenance service

In addition to designing, developing and building the machines, Cantec implements them in the customer's production lines. Cantec had 97 employees at the time of the insolvency filing.

STRUCTURED SALES PROCESS

On 13th January 2021, the management of Cantec filed for insolvency in self-administration. The local court of Essen appointed Mr. Nils Meißner as the provisional administrator. Dr. Marc d'Avoine and Mr. Paul Michels of ATN D'Avoine Teubler Neu Rechtsanwälte were responsible for advising the management on insolvency law.

The team of CVM around managing partner Kai Peppmeier was exclusively mandated on 27.01.2021 by the management of Cantec as well as the preliminary creditors' committee to set up a structured M&A process. Due to the successful collaboration with ATN D'Avoine Teubler Neu Rechtsanwälte, CVM has successfully sold the Cantec GmbH & Co. KG. Both the administrator and the provisional creditors' committee approved the sale.

Cantec GmbH & Co. KG was sold to Soudronic AG with effect on 1th July 2021. The acquirer is the original parent company. The Swiss-based AG specializes in the development, manufacture and installation of industrial welding technologies. The product portfolio is assigned to the metal packaging sector and ranges from individual components to complete systems. Around 600 employees work at the production sites in Switzerland, France, Italy, Germany and China.
