Shares of Geers Vital AG have been sold to Orthopädie Bähler AG in Switzerland

Geers Vital AG, a 100 percent subsidiary of the German GB Health Care GmbH, is an independent healthcare provider with a total of four orthopaedic and medical stores in the north of Switzerland. Each of the four medical stores operates as an independent subsidiary and legal entity of Geers Vital AG. The company has made a name for itself, mainly through orthopaedic technology and medical supply in the area of greater Zurich and Aarau. In 2018/2019, the company generated a total cumulated total output of approximately 4.3 million CHF with a total number of 22 employees.

ENTIRE SALES PROCESS

The management of the German GB Health Care GmbH filed for insolvency on 30 January 2020. On 4 February 2020 Mr. Horst Piepenburg from Piepenburg Rechtsanwälte (Dusseldorf)  was appointed as the preliminary insolvency administrator by the local court of Hagen. By order of 23 June 2021, the insolvency proceedings of GB Health Care GmbH were opened and Mr. Horst Piepenburg was appointed as insolvency administrator. As part of the insolvency proceedings, the aim was to sell the shares in Geers Vital AG as a 100 percent subsidiary of GB Health Care GmbH in the course of a structured investor process.

On 29 June 2021, the purchase contract was signed with Orthopädie Bähler AG from Switzerland.

The team of CVM Capital Value Management GmbH around managing partner Christian Lützenrath was mandated to conduct a structured investor process in consultation with the parties involved. Due to the successful collaboration with Mr. Horst Piepenburg and Mr. Wolfgang Piroth from Piepenburg Rechtsanwälte and Mr. Ingo Gerdes from Taylor Wessing Partnerschaftsgesellschaft mbB and the management of GB Health Care GmbH, CVM successfully sold the company with effect of 1 July 2021. Both the insolvency administrator and the creditors' committee of GB Health Care GmbH have approved the sale.
